Constitution updated
Royal Life Saving Society WA recently updated its Constitution, following a Special General Meeting of Members.
A working group led by Director David Cummins completed a review of the Constitution with the Board of Directors proposing changes via a special resolution at the Special General Meeting held on 28th April 2016.
The major changes include:
- Updates to comply with changes to the Associations Act.
- The number of Directors was clarified. (minimum of 5 and maximum of 7).
- Clarification on the number of Directors required for a quorum of the Board (4).
- Clarification on the number of times the Board shall meet each year (10).
- Clarification that the CEO shall be present (non-voting) at Board meetings.
- Board instead of President to appoint the Chairman of meetings in the absence of the President.
- Changes to provide consistency, improve grammar and clarity.
